1.1 These Terms of Service ("Terms") are an agreement between you and Render Better, Inc., a Delaware corporation ("Render Better", "we", "us" or "our").
1.2 These Terms apply when you:
(a) visit www.renderbetter.com or any other website we operate that links to these Terms (the "Website"),
(b) sign in to or use the Render Better dashboard at dashboard.renderbetter.com, its API, its MCP server, its reports, or its alerts (together, the "Dashboard"), or
(c) use any other Render Better service that links to these Terms.
The Website, the Dashboard and the services described in section 6 are together the "Service".
1.3 You accept these Terms when you first use the Service after they take effect, when you accept an invitation to the Dashboard, or when you click or check a box that says you agree. If you do not agree, do not use the Service.
1.4 If you use the Service on behalf of a company or other organization, you confirm that you are allowed to act for it. In that case "you" also means that organization where the context requires.
1.5 Our Privacy Policy explains how we handle personal data. It is at https://www.renderbetter.com/pages/privacy-policy and forms part of these Terms.
2.1 Many customers have signed an order form for subscription services and the Render Better Master Services Agreement, or another written agreement with us (each a "Customer Agreement").
2.2 If your organization has a Customer Agreement, that Customer Agreement governs the organization's subscription, fees, service levels, data handling and liability. These Terms add to it and do not replace it. If these Terms conflict with a Customer Agreement, the Customer Agreement controls.
2.3 These Terms still apply to each individual who uses the Dashboard, including people who are not a party to their organization's Customer Agreement. For those individuals, these Terms set the rules for use of their account.
2.4 If your organization does not have a Customer Agreement, these Terms govern your use of the Service, together with any order form you accept.
In these Terms:
"Customer" means the organization that subscribes to the Service, usually an online merchant.
"Customer Site" means a website or online store that a Customer connects to the Service.
"Shopper" means a visitor to a Customer Site.
"Customer Data" means data the Service collects about Shoppers' sessions on Customer Sites, and data a Customer or its Users put into the Service. It does not include Aggregated Data or Usage Data.
"Aggregated Data" means de-identified, aggregated data that does not identify a Customer, a User or a Shopper.
"Usage Data" means data about how the Service is used and performs that does not identify a Customer or a User.
"Team" means a Customer's workspace in the Dashboard.
"User" means an individual with a Dashboard account, including an employee, contractor or agency that a Customer invites.
"Team Admin" means a User with administrator rights on a Team.
4.1 Invitation only. Dashboard accounts are created by invitation from a Team Admin or from Render Better. By accepting an invitation you agree to these Terms for your own use of the Dashboard.
4.2 Your organization controls your access. The Team you join belongs to the Customer. The Customer's Team Admins can add and remove Users, change roles, enable or block features such as MCP connections, and see what you do in the Team, such as changes you make. Your access ends when the Customer or Render Better removes you, or when the Customer's subscription ends.
4.3 Accurate details. Give accurate account details and keep your email address current.
4.4 Sign-in security. Keep your password, one-time codes, passkeys and connected Google or Microsoft account secure. Use multi-factor authentication where your Team requires it. Do not share your account. Tell us right away at security@renderbetter.com if you think someone else has accessed it. You are responsible for activity under your account unless the cause is our breach of these Terms.
4.5 Render Better staff access. Render Better staff can access Teams to provide support, onboarding and optimization work, and to keep the Service secure.
4.6 Account deletion. You can ask us to delete your User account at any time. Deleting your account does not delete your organization's Team or Customer Data, which the Customer controls.
5.1 You must not, and must not help anyone else to:
(a) use the Service in breach of any law, including privacy, consumer protection, anti-spam and export laws,
(b) connect a website to the Service unless you own it or are authorized by its owner,
(c) access, or try to access, another Team's data or any part of the Service you are not authorized to use,
(d) probe, scan or test the Service's security, or bypass rate limits, authentication or tenant boundaries, except under a written agreement with us,
(e) copy, modify, reverse engineer, decompile or create derivative works of the Service, except where the law allows this despite this restriction,
(f) resell, sublicense or offer the Service as a service bureau for anyone other than your own organization and its affiliates, unless we agree in writing,
(g) upload or send malicious code, or use the Service to attack, overload or disrupt any system,
(h) use the Service, its data or its outputs to build a competing product, or scrape the Website or the Dashboard by automated means, except through the API or MCP server we provide and within its limits,
(i) send us sensitive personal data, such as health, financial account or government identifier data, through form fields, URLs or page content that the Service collects, unless we agree in writing, or
(j) use the Service in a way that infringes or misappropriates anyone's rights.
5.2 We can investigate suspected breaches of this section and act under section 15.
6.1 What the Service does. Depending on the order, the Service can include:
(a) Edge optimization. Traffic to a Customer Site can be routed through Render Better's edge network, which runs on Cloudflare. Our software rewrites pages and assets in transit to improve speed and Core Web Vitals, and can cache pages.
(b) Real user monitoring. A script on the Customer Site and, for Shopify stores, a custom pixel measure how real Shoppers experience the site. This includes performance, errors, interactions and checkout events. The results feed the Dashboard, reports and alerts.
(c) Bot protection. Detection and firewall rules that identify and block unwanted automated traffic.
(d) Dashboard, reports, alerts, API and MCP server. Tools for Users to view and query results.
(e) Professional services, such as engineering help, if your order includes them.
6.2 The Customer's responsibilities for Customer Sites. The Customer is responsible for:
(a) telling Shoppers about Render Better's processing in the Customer Site's privacy notice,
(b) obtaining any consent that the law requires before the Service sets cookies or collects data on a Customer Site. The Service can wait for consent through supported consent tools or the consent method described in our documentation, and the Customer must configure this and ask us to turn on consent mode where it is required,
(c) not placing personal data such as email addresses in page URLs, page titles or other places the Service collects, and
(d) keeping the Render Better script, pixel and DNS or proxy settings in place as set up during onboarding.
6.3 Changes to Customer Sites. Optimization changes how a Customer Site loads. We test changes, but a site can behave differently through the Service. The Customer should report problems promptly. We can turn optimization off for a site, a page or a feature at any time.
6.4 Changes to the Service. We improve the Service often. We can add, change or remove features. If a change materially reduces a paid feature during a paid term, the Customer Agreement or order governs the remedy.
6.5 Beta features. Features marked as beta, preview or experimental are provided as is, can change or stop at any time, and are excluded from any service level.
6.6 AI assistants and MCP. A User can connect a third-party AI assistant to the Dashboard's MCP server. The assistant receives the data the User asks for, and that AI provider's terms and privacy practices govern what it does with that data. The Customer is responsible for the AI providers its Users connect. Team Admins control whether MCP access is enabled for their Team.
6.7 AI-generated answers. Answers an AI assistant builds from Render Better data can be incomplete or wrong. Check them before relying on them. The Customer stays responsible for decisions it makes using those answers.
6.8 Automated access. These Terms, including section 5, apply to access by AI assistants, agents and other automated clients acting for a User, in the same way they apply to the User.
6.9 Third-party services. The Service works with third-party services such as Shopify, Cloudflare, Slack, Google and Microsoft sign-in, and consent tools. Your use of them is governed by their terms. We are not responsible for them.
7.1 Ownership. As between the Customer and Render Better, the Customer owns Customer Data.
7.2 Our use of Customer Data. We use Customer Data to provide, secure, support and improve the Service for the Customer, and as the Customer Agreement allows. For personal data in Customer Data, we act as the Customer's processor or service provider. We do not sell Customer Data.
7.3 Aggregated Data and Usage Data. We can create Aggregated Data from Customer Data and use it and Usage Data for any lawful purpose, including to improve and market the Service. Aggregated Data does not identify a Customer, a User or a Shopper.
7.4 Data processing addendum. If a Customer needs a data processing addendum for GDPR, UK GDPR or US state privacy laws, contact us at privacy@renderbetter.com. Our list of subprocessors is at https://www.renderbetter.com/pages/subprocessors.
7.5 Your personal data. Our Privacy Policy explains how we handle the personal data of Website visitors and Users.
7.6 Security. We use reasonable technical and organizational measures to protect the Service and Customer Data. No system is perfectly secure.
8.1 Fees come from an order. The Customer pays the fees in its order form or Customer Agreement. These Terms do not create a payment obligation for an individual User.
8.2 Billing. Unless an order says otherwise, fees are billed in advance through our billing provider, are in US dollars, exclude taxes, and are non-refundable except as the order or Customer Agreement states.
8.3 Late payment. If undisputed fees are overdue, we can suspend the Service after notice, as the order or Customer Agreement allows.
9.1 Ours. Render Better and its licensors own the Service, the Website, our software, documentation and content, and all improvements to them. These Terms do not transfer any of those rights to you.
9.2 Your right to use the Service. Subject to these Terms and any Customer Agreement, we give you a limited, non-exclusive, non-transferable right to use the Service for your organization's internal business purposes.
9.3 Feedback. If you send us ideas or feedback, we can use them without any obligation to you.
9.4 Website content. You can view and share Website content for your own information. Do not copy or republish it in bulk without our permission.
10.1 The Dashboard contains non-public information about Render Better and about the Customer. Use it only to work with the Service for your organization and do not disclose it to others, except as the Customer allows or the law requires.
10.2 If you have a Customer Agreement, its confidentiality terms control.
11.1 Each person accepting these Terms confirms they have the authority to do so.
11.2 Any warranty or service level that Render Better gives is in the Customer Agreement or order. Nothing in these Terms reduces it.
11.3 EXCEPT AS A CUSTOMER AGREEMENT EXPRESSLY STATES, THE SERVICE AND THE WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, RENDER BETTER DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE, THAT ANY SPECIFIC PERFORMANCE, CONVERSION OR REVENUE RESULT WILL BE ACHIEVED, OR THAT ANALYTICS, BOT CLASSIFICATIONS, ESTIMATES OR AI-GENERATED FINDINGS ARE COMPLETE OR ACCURATE.
12.1 This section does not limit liability that the law does not allow to be limited.
12.2 If you have a Customer Agreement, its limitation of liability applies in place of this section 12.
12.3 TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER RENDER BETTER NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SALES, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY.
12.4 TO THE FULLEST EXTENT THE LAW ALLOWS, RENDER BETTER'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID OR OWED TO RENDER BETTER FOR THE SERVICE IN THE SUBSCRIPTION TERM IN WHICH THE EVENT GIVING RISE TO THE CLAIM OCCURRED AND (B) ONE HUNDRED US DOLLARS (US$100).
13.1 If you use the Service without a Customer Agreement, you will defend and indemnify Render Better against third-party claims, and related losses and reasonable legal fees, that arise from:
(a) your breach of section 5,
(b) a website you connect to the Service, or its content, or
(c) your failure to give Shoppers the notice or obtain the consent required under section 6.2.
13.2 If your organization has a Customer Agreement, its indemnity terms apply in place of section 13.1.
13.3 Render Better will tell you promptly about a claim, let you control the defense, and cooperate at your expense. You may not settle a claim in a way that admits fault by Render Better without our written consent.
These Terms apply from the time you first use the Service until your use ends. Sections 5, 7.1, 7.3, 9, 10, 11, 12, 13, 16, 17 and 19 survive.
15.1 By you. You can stop using the Service at any time. A Customer ends its subscription as its order or Customer Agreement says.
15.2 By us. We can suspend or end a User's access, or a Team's access, if:
(a) there is a breach of these Terms or a Customer Agreement,
(b) use of the Service creates a security risk or legal risk to Render Better, a Customer or others,
(c) the law requires it, or
(d) fees are overdue as the order or Customer Agreement allows.
We will give notice where it is reasonable to do so. Where a Customer Agreement sets the rules for suspending or ending the Customer's subscription, those rules apply.
15.3 After termination. Your right to use the Service ends. What happens to Customer Data after a subscription ends is governed by the Customer Agreement. Without a Customer Agreement, we delete or de-identify Customer Data within 90 days after the subscription ends, except copies in backups that age out on their normal schedule, de-identified aggregated data, and copies the law requires us to keep.
16.1 We can change these Terms. We will post the new version with a new "Last updated" date. For a material change, we will give at least 30 days' notice by email to Team Admins or in the Dashboard before it takes effect, unless the change is required by law or concerns a new feature.
16.2 If you keep using the Service after a change takes effect, you accept the new Terms. If you do not agree, stop using the Service.
16.3 A change to these Terms does not change a signed Customer Agreement. Customer Agreements change only as they provide.
17.1 These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws rules.
17.2 The state and federal courts located in Denver, Colorado have exclusive jurisdiction over any dispute arising out of these Terms, and each party consents to that jurisdiction.
17.3 Either party can seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
17.4 If you are a consumer in the European Union or the United Kingdom, these Terms do not take away any mandatory protection that the law of your country gives you. The Service is intended for business use.
18.1 To Render Better. Send legal notices to:
Render Better, Inc. Attn: Legal 7173 S. Havana St., Suite #600-6 Centennial, CO 80112 United States
with a copy by email to legal@renderbetter.com.
18.2 To you. We can send notices to the email address on your account or the billing or primary contact in your order, or post them in the Dashboard. A notice is received when sent by email, unless we learn that it was not delivered.
19.1 Entire agreement. These Terms, the Privacy Policy and any order you accept are the entire agreement between you and Render Better about their subject matter, except where a Customer Agreement applies under section 2.
19.2 Assignment. You cannot transfer these Terms without our written consent. We can transfer them to an affiliate or to a successor in a merger, acquisition or sale of assets.
19.3 Severability. If a court finds part of these Terms unenforceable, that part is changed to the minimum extent needed and the rest stays in effect.
19.4 No waiver. Not enforcing a term is not a waiver of it.
19.5 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.
19.6 Independent parties. These Terms do not create a partnership, employment or agency relationship.
19.7 Export and sanctions. You must not use the Service in breach of US export controls or sanctions.
19.8 Electronic acceptance. Acceptance by clicking, checking a box or accepting an invitation is as binding as a signature.
